Gerald A. Poch
Chairman of the Board of Directors
Gerald A. Poch has served as Chairman of the Board of Directors since May 2004. Mr. Poch is Founder, Chairman and Managing Director of FirstMark Capital, a New York City-based venture capital firm where he is directly responsible for investments in infrastructure, and serves as a senior member of FirstMark’s Investment Committee. Prior to founding FirstMark Capital, he served as Chairman and Managing Director of Pequot Ventures. Prior to that, Mr. Poch served as Chairman, President and CEO of GE Capital Information Technology Solutions and was Co-Founder, Co-Chairman and Co-President of AmeriData Technologies, Inc. Mr. Poch also has served as President of SBC Technologies, Inc., Senior Vice President of TIE/ Communications, Inc. and President of Technicom, Inc. He was previously General Counsel to the North America Telecommunications Group of ITT Industries, Inc. and practiced law with Cadwalader, Wickersham & Taft L.L.P. Mr. Poch sits on the boards of iBiquity Digital, MTM Technologies (NASDAQ: MTMC), NewRiver, Reflexis Systems, SPADAC and Tectura. He holds a J.D. from Boston University Law School and a B.S. from the University of Connecticut. Mr. Poch is a member of the Bar in the States of New York and Massachusetts.. 

Keith B. Hall
Director
Keith B. Hall has served as a director since February 2008. As the Senior Vice President and Chief Financial Officer of LendingTree, Inc., a division of InterActive Corp. (IACI), Mr. Hall helped lead the one-time fledgling company to profitability and raised $150 million in capital, including overseeing the company’s initial public offering in 2000. His 30 years of industry experience include financial analysis, accounting, investor relations, strategic planning, process redesign and international operations. Mr. Hall serves as a member of the Board and Chairman of the Audit Committee for Electronic Clearing House, Inc., a NASDAQ Stock Market listed provider of electronic payment and transaction processing services, and NewRiver, Inc., a private Internet company serving the mutual fund industry. Mr. Hall is also on the Board of Trustees of Coe College in Cedar Rapids, Iowa.

William Lerner
Chairman of our Corporate Governance and Nominating Committee
William Lerner has served as chairman of our corporate governance and nominating committee since November 2003. Mr. Lerner has been engaged in the private practice of corporate and securities law in New York since 1961 and in Pennsylvania since 1990. Mr. Lerner is a director of Rent-way, Inc., New York Stock Exchange listed company engaged in the rental-purchase industry; and Cortland Trust, Inc., a money market mutual fund distributed primarily through securities brokerage firms and commercial banks.

Alvin E. Nashman
Director
Alvin E. Nashman has served as a director since 1998. He has been an independent consultant in the field of computer service for the past ten years. Dr. Nashman is a director of James Munroe Bancorp Inc., a NASDAQ Stock Market listed commercial bank.

Sterling Phillips
Director and Chairman of our Compensation Committee
Sterling Phillips has served as a director and as chairman of our compensation committee since April, 2008. Mr. Phillips, a venture partner at Pequot Ventures, served for six years as Chairman and Chief Executive Officer of Analex Corporation, a publicly traded federal professional services firm that was acquired in March, 2007 by QinetiQ North America. Prior to joining Analex, Mr. Phillips was Senior Vice President of Federal Data Corporation (now part of Northrop Grumman) where he was instrumental in completing six acquisitions and growing revenues from $130 million to more than $650 million in less than five years. Mr. Phillips began his career with IBM Corporation, progressing through a variety of technical, marketing and general management assignments to a key role in the company's Federal Systems Division (now part of Lockheed Martin).  He has also served as President of the federal business development division at Computer Sciences Corporation. Mr. Phillips has a degree in Psychology from the University of North Carolina at Chapel Hill. He and his wife Pat Ferrill reside in Potomac, MD.

Arnold J. Wasserman
Chairman of our Audit Committee  
Arnold J. Wasserman has served as chairman of our audit committee since March 1999. Mr. Wasserman has been a principal of Panda Financial Associates, Inc., a leasing/consulting firm, for the past 35 years. He is a director of Stratasys, Inc., a Nasdaq National Market listed company which manufactures rapid prototyping systems and materials, and serves as chairman of its audit committee.

Thomas Wasserman
Director  
Thomas Wasserman has served as a director since August 2005. Mr. Wasserman is vice president of Constellation Ventures, focusing on the firm's investments in communications, IT, and media, with particular emphasis on hosting and network services, media transport technologies, and traditional media.
In addition to serving on MTM Technologies’ board of directors, he also serves on the board of directors of The Gospel Music Channel, and serves as an observer on the board of directors of Verance Corp and Net Insight, AB. Mr. Wasserman was formerly senior manager of corporate development at 360Networks, a global telecommunications service provider funded by Providence Equity, Madison Dearborn, the Sprout Group, and other private equity funds. At 360Networks, he was responsible for strategic relationships with hardware vendors, other service providers, and strategic customers. In addition, Mr. Wasserman also worked on minority investments, mergers and acquisitions, and public and private financings.

Prior to 360Networks, Mr. Wasserman was an associate at Charterhouse Group International, a $1 billion middle market private equity fund. While at Charterhouse, he focused on telecommunications and technology investments. Prior to Charterhouse, Mr. Wasserman worked in investment banking with Donaldson, Lufkin and Jenrette. Mr. Wasserman has received a Bachelor’s degree in Business Administration from the University of Michigan, graduating with distinction.
